This Affiliate Agreement ("Agreement") is entered into by and between Freezbone Inc ("Company"), a company registered under the laws of Florida, USA, and the individual or entity signing below ("Affiliate").
The purpose of this Agreement is to establish the terms under which the Affiliate agrees to participate in the Company’s affiliate program. By signing this Agreement, the Affiliate agrees to allow the Company to use, modify, edit, and distribute the Affiliate’s videos across TikTok and other social media platforms as specified herein.
The Affiliate hereby grants the Company a perpetual, worldwide, non-exclusive, royalty-free right to use, modify, edit, and distribute the Affiliate's videos on TikTok and any other social media platforms. The Company may repost, sponsor, and promote the videos without the need to seek additional permission from the Affiliate.
If the Company uses the Affiliate’s video as an advertisement on any social media platform other than TikTok for more than 14 days, the Company will compensate the Affiliate with a one-time payment of $50. This payment will be made to the Affiliate's PayPal account within 60 days after the end of the 14-day test period.
The Affiliate agrees to provide accurate and up-to-date information including their PayPal account details, TikTok account name, and email address at the time of signing this Agreement. This information will be collected at the end of this Agreement in the designated section.
This Agreement is non-exclusive, meaning the Affiliate is free to enter into similar agreements with other companies.
The Company shall retain all intellectual property rights to any modifications or edits made to the Affiliate's videos. The Affiliate agrees that the Company may use these edited versions without restriction.
The Affiliate agrees to maintain the confidentiality of this Agreement and any related information. The Affiliate shall not disclose the terms of this Agreement or any other proprietary information about the Company without prior written consent from the Company.
This Agreement shall be governed by and construed in accordance with the laws of Florida, USA. Any disputes arising from or related to this Agreement shall be resolved in the courts of Broward county, Florida.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, related to the subject matter herein.
Amendment: This Agreement may only be amended or modified in writing, signed by both parties.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
