This Affiliate Agreement ("Agreement") is entered into and becomes effective on the date the Affiliate signs this Agreement ("Effective Date") by and between Freezbone ("Company") and the individual or entity signing below ("Affiliate").
1. Term of Agreement
This Agreement shall commence on the date the Affiliate signs it and remain in effect until terminated by either party with a thirty (30) day written notice. Freezbone will evaluate the Affiliate’s account on a quarterly basis and reserves the right to revoke super affiliate status if the Affiliate does not meet performance requirements.
2. Affiliate Responsibilities
Affiliate agrees to meet the following expectations:
- Create at least three (2) high-quality posts per week on Facebook featuring Freezbone products, following Facebook’s & Instagram content guidelines and trends.
- Produce engaging content that aligns with current viral video formats on Facebook & Instagram.
- Grant Freezbone lifetime permission to use the Affiliate’s video content, images, and promotional materials for marketing purposes.
3. Company Responsibilities
The Company agrees to:
- Provide the Affiliate with early access to new products. Early access is defined as the ability to obtain new product designs within seven (7) to fourteen (14) days of the official launch.
- Supply flash sales, discounts, and giveaways to share with followers.
- Provide priority boosting of the Affiliate’s videos on Facebook and Instagram based on the quality of the content generated.
- Offer guidance and support for creating high-quality viral videos.
- Ensure priority customer support via text and phone.
4. Compensation
- Affiliate will earn commissions of ten percent (10%) per sale generated through their unique affiliate link.
- The Affiliate will have access to an affiliate portal where they can track their sales and commissions.
- Affiliates can request payouts once per week through the portal, provided the balance meets the minimum threshold of $50.
5. Confidentiality
Affiliate agrees not to share or disclose any proprietary information or trade secrets of Freezbone, including but not limited to training materials, marketing strategies, or product pricing, with any third party outside the scope of this partnership.
6. Intellectual Property
All content created by the Affiliate, including videos, images, and other promotional materials, will remain the intellectual property of the Affiliate. However, by entering into this Agreement, the Affiliate grants Freezbone an irrevocable, royalty-free, perpetual license to use such content for marketing and promotional campaigns. The Affiliate cannot revoke these rights.
7. Termination
Either party may terminate this Agreement at any time by providing thirty (30) days’ written notice to the other party.
8. Dispute Resolution
Any disputes arising under this Agreement shall be resolved within thirty (30) days through mediation or arbitration.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America.
